Karuna Project Booking Terms and Conditions

This Booking Agreement (the "Agreement") is entered into between Karuna Ventures LLC, a Colorado limited liability company, Karuna Project, its subsidiaries and affiliates, ("Karuna Project," "we," "us," "ours," and "our") and the person or organization agreeing to these terms ("Customer," "Guest," "you," or "your").


Definitions

Capitalized terms not defined in this Agreement have the meaning given to them in the Trip Itinerary or other Karuna Project documents and policies.

In this Agreement, unless the context requires otherwise, any phrase introduced by the words "including," "include," "in particular," "for example" or any similar expression shall be construed as illustrative only and shall not be construed as limiting the generality of any preceding words, and references to the singular include the plural and in each case vice versa.

The headings and subheadings in this Agreement are inserted for convenience only and shall not affect the meaning of this Agreement.


Booking and Payment Requirements

To reserve a space on a Karuna Project trip, each Guest must accept this Agreement, sign the Karuna Project Liability Waiver, and pay the deposit associated with the trip.

Booking is not completed until Karuna Project confirms receipt of your deposit.

The deposit is due at the time of booking. Failure to provide a deposit may result in losing your place on the trip.

Guest must pay the full trip price by 90 days before the Trip Start Date.

Failure to pay the full trip price may result in losing your place on the trip.

Guests who cancel more than 90 days before the Trip Start Date will receive a refund of all money paid towards the trip, minus a $500 refund fee.

Deposits become non-refundable 90 days before the Trip Start Date.

Guests who cancel between 90 and 30 days before the Trip Start Date will lose their deposit but receive a refund of 60% of all other money paid for the trip. During this timeframe, nonrefundable payouts are made to our destination travel partners for tours, accommodation, travel costs, etc.

All payments become non-refundable 30 days before the Trip Date.

Guest Responsibilities and Obligations

Regarding travel

Guests are responsible for their own travel to and from the Destination City. Guests are encouraged to arrive at Destination City early. Karuna Project will not delay Trips due to late Guests.

Guests are responsible for meeting Karuna Project representatives in the Destination City by or before the Trip departure time.

Guests are generally responsible for their own expenses on the trip, including international flight and related baggage fees, excess baggage charges, personal expenses and gear, souvenirs, tipping, snacks, beverages, some meals, single occupancy accommodation, additional requests, etc. Meals, tours, travel, accommodation, and other services covered by Karuna Project are listed in the “Inclusions and Exclusions” section of the Karuna Project website www.karuna-project.com.

Guests must procure their own travel insurance encompassing emergency evacuation and repatriation coverage, including from high altitudes, and provide Karuna a copy 60 days before the Trip Start Date. Guests of the 3 Pass Trek in Nepal must procure travel insurance for emergency evacuation and repatriation coverage up to 18,500 feet (5600 m).


Regarding Medical and Evacuation Issues

Guest represents and warrants that they have read the Trip Itinerary, and that they are in good physical condition and have no medical conditions that could impair their ability to participate in the activities listed in the Trip Itinerary.

Guest agrees to disclose all current medical issues, medications, and relevant medical history to Karuna Project as part of the intake process.

Guest recognizes that the Trip includes substantial travel in a developing or third-world country or countries, which involves medical and other risks which are typically uncommon in the developed world. Guest has reviewed the US Department of State Travel Advisories, or their country of origin travel advisories, for the countries where the trip will take place. Guest agrees to assume the medical and other risks associated with this travel.

Guests are responsible for any and all medical expenses incurred while on the trip. Guests are responsible for any and all evacuation expenses incurred on their behalf while on the Trip. Guest agrees to indemnify Karuna Project for any and all medical, evacuation, or other expenses incurred on Guest’s behalf due to a medical or similar incident during the Trip.

Guest authorizes Karuna Project, its employees, contractors, and representatives to provide emergency medical care to Guest, to order or authorize emergency medical care on Guest’s behalf, and to order or authorize emergency transportation on Guest’s behalf. Guest agrees to release and indemnify Karuna Project, its employees, contractors, and representatives from any liability resulting from actions described in this paragraph.

Trip Behavior

Guest agrees to adhere to the following Karuna Project Guest Behavior, Drug, and Alcohol Policies.

· No harassment of any other guests, guides, or local people

· Display cultural sensitivity and respect for the local culture and people.

· Respect the instructions and decisions of all guides and trip leaders.

· Comply with all local, US, or country-of-origin laws and policies.

· If of legal drinking age, refrain from alcohol use that impairs judgment or motor skills, jeopardizes safety, or causes loud lude behavior.

· No possession or use of any illegal local, US, or country-of-origin substance

Guest acknowledges and agrees that Karuna Project may change the trip itinerary at any time, in its sole and absolute discretion. These changes may range from changing planned routes, travel logistics, or lodging ahead of trip departure, to making decisions regarding activities in the moment due to weather, group and individual health, civil unrest, government influences, unsafe situations, or other factors affecting the trip and group.

Karuna Project may remove or evacuate a guest from the trip at any time, in its sole and absolute discretion, for any behavior that may endanger Karuna Project’s personnel, guests, contractors, and vendors, or Karuna Projects’s reputation with personnel, guests, contractors, and vendors. Such behavior includes but is not limited to: violation of any Karuna Project’s policies, intoxication, unwillingness or inability to follow instructions, rudeness to other guests, guides (including sexual harassment), or locals, possession of any contraband or weapons, etc.

If Guest is removed or evacuated from the trip, Guest is responsible for all expenses from that point forward. Guest will not receive a refund from Karuna Project. Guest will be responsible for their own travel arrangements and safety. Guest agrees to release and indemnify Karuna Project, its employees, contractors, and representatives from any liability resulting from Karuna Project booting Guest from the trip.

Karuna Project may remove a guest from the trip at any time, in its sole and absolute discretion, if the guest’s health or physical condition is such that it may endanger the guest or others.

If Guest is removed from the Trip for reasons related to health or physical condition, Karuna Project may, but is not obligated to, work with Guest to secure alternative travel arrangements.

Guest may leave the trip at any time. However, Guest acknowledges that there will be times when it will be extremely dangerous to leave the trip. Ultimately, Karuna Project cannot control a Guest’s decision to leave the trip or group, and Guest acknowledges this risk, assumes all risk associated with leaving the trip or group, and agrees to release and indemnify Karuna Project, its employees, contractors, and representatives from any liability arising from Guest’s decision to leave the trip.

Miscellaneous Provisions

Governing Law. This Agreement will be interpreted according to the laws of the State of Colorado, without regard to principles of conflicts of law, and shall be binding upon the parties to this Agreement in the United States and worldwide.

Jurisdiction and Venue.The state courts located in Gunnison, Colorado shall have exclusive jurisdiction over, and shall be the exclusive venue for, any action arising out of or related to this Agreement. Notwithstanding anything in the preceding sentence, the parties may bring or defend relevant claims or counterclaims related to this Agreement in any action initiated in a different jurisdiction or venue by a third-party.

Severability. If any provision of this Agreement is held unenforceable, in whole or in part, the remainder of the provision and the entire Agreement is severable and remains in effect.

Modification of Agreement.Any revisions or modifications of this Agreement must be made in writing and signed by both parties.

Waiver. No waiver of any term or right in this Agreement shall be effective unless in writing, signed by an authorized representative of the waiving party. The failure of either party to enforce any clause of this Agreement shall not be construed as a waiver or modification of such clause, or impairment of its right to enforce such clause thereafter.

Heirs and Assigns.This Agreement will be binding up the parties, their heirs, successors, administrators, assigns, and personal representatives. References to Author and Publisher include their heirs, successors, administrators, assigns, and personal representatives.

Entire Agreement. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings, presentations, or agreements, whether written or oral, and exclusively determines the rights and obligations of the parties.

Force Majeure. Neither Party shall be liable under this Agreement for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is on account of causes beyond its control, including labor disputes, civil commotion, war, fires, floods, inclement weather, governmental regulations or controls, casualty, government authority, strikes, pandemics, epidemics, local disease outbreaks, public health emergencies, quarantines, or acts of God, in addition to any and all events, regardless of their dissimilarity to the foregoing, deemed to render performance of the Agreement impracticable or impossible under the law, in which event the non-performing Party shall be excused from its obligations for the period of the delay and for a reasonable time thereafter. Each Party shall use reasonable efforts to notify the other Party of the occurrence of such an event within five (5) business days of its occurrence.
